Assistant Chief Constable Sean O'Callaghan told BBC Breakfast: "We now know from enquiries we've been doing overnight and from witnesses that the two men were involved in a verbal discussion, that discussion lasted three to four minutes, it moved through one carriage from where they first boarded into another carriage, and that argument escalated to the unprovoked violent attack that sadly resulted in the death".
A man has been arrested on suspicion of murder and a 27-year-old woman arrested on suspicion of assisting an offender.
Superintendent Paul Langley said in a statement on Friday evening: "By now you'll be aware that British Transport Police and Surrey Police were called to Horsley station at 1.15pm today following a serious stabbing on board a South Western Railways train".
This was a shocking and violent attack which took place on-board a train in broad daylight.
The 51-year-old man was killed Friday afternoon onboard a train traveling from the town of Guildford to London Waterloo station.
He received medical attention but, despite the efforts of police officers and paramedics, died at the scene.
"Traumatically, the victims son would have been nearby when his father was fatally wounded".

"We believe that the suspect and victim boarded the train at London Road at 1.01pm and we would encourage anyone who was on this train to come forward regardless of whether or not they think they can help our investigation".
The killer, described as a black man in his 20s to 30s, approximately 6ft tall and of slim build with a beard, also boarded the service at London Road.
It is believed the suspect alighted at Clandon rail station in Surrey and police are searching the area.
"Passengers and members of the public can expect to see an increased presence by BTP and Surrey Police officers at Horsley and Clandon stations as our inquiries continue".
One passenger said there was blood all over the carriage and it was clear the victim was in a very bad way following the attack.
Transport Secretary Chris Grayling said: "The incident near Horsley is tragic, and our deepest sympathies are with the victim and their family". Alternatively, they can ring Crimestoppers anonymously on 0800 555 111.
